The Company holds the Initial Portfolio through China Central Properties (BVI) Limited, a wholly-owned subsidiary of the Company ("Holdco"), and Holdco will hold the PRC Investment Vehicles through the SPVs. Under the terms of the Investment Management Agreement, the Investment Manager, SOCAM Asset Management Limited, a newly incorporated, wholly-owned subsidiary of SOCAM, will provide project and investment management services to the Group.
